Kontroll.se provides a reminder and contract management service by the Internet (“Service”). The service is sold by the subscriber signing a subscription agreement with kontroll.se (“Agreement”). The agreement gives the subscriber the right to use the Service in accordance with the parties’ agreement. The subscriber gains access to the Service through a username and password. These General Terms and Conditions apply to kontroll.se’s provision of the Service to the subscriber. These General Terms and Conditions (as well as a separate Privacy Policy) thus form part of the Agreement between the parties.
1. In general,
Kontroll.se provides a reminder and contract management service by the Internet (“Service”). The service is sold by the subscriber signing a subscription agreement. The agreement gives the subscriber the right to use the services of kontroll.se in accordance with the parties’ agreement. The subscriber accesses the services through a username and password. These general conditions apply to the access that kontroll.se gives the subscriber. Resale or transfer of the service to third parties is not permitted. Subscriptions subscribed by a company give access to all employees according to the type of subscription subscribed. Employees must have their own login credentials. The agreement is concluded through the website.
2. Contract period
2.1 Termination period for monthly payment by direct debit:
When a customer signs an agreement with kontroll.se for monthly payment by direct debit, the subscription is valid for 12 months, where kontroll.se deducts the amount of 35 USD each month. If customer want to cancel the service before the next annual period, a written cancellation must be made through e-mail no later than three (3) months before the agreement expires, otherwise the subscription will run for another 12 months where kontroll.se will continue to draw a direct debit every month for the same amount of 35 USD.
2.2 Termination period for full-year payment by invoice:
When a customer signs an agreement with kontroll.se and chooses full-year payment, the subscription is valid for 12 months. If customer want to cancel the service before the next annual period, a written cancellation must be made through e-mail no later than two (2) months before the agreement expires, otherwise the subscription will run for another 12 months, where Kontroll.se will send a new invoice for a new year. Unpaid invoice is not considered a termination.
3. Subscription fee
The customer can choose to pay by direct debit per month or pay an invoice for the entire annual amount after the agreement is concluded. All prices are excluding VAT. Refunds of the subscription fee will not be made during the relevant subscription period. The price list is revised once a year. Kontroll.se reserves the right to change the subscription fee for the upcoming contract period if the conditions have changed or for other reasons do not correspond to the previous year’s subscription fee.
4. Payment terms and interest
4.1. Payment against invoice
An invoice is issued 14 days before the end of the payment period, and is sent to the subscriber’s
e-mail address. In case of late payment, late payment interest is added according to the Act on late payment interest. A reminder fee of 6 USD from Fortnox Finans is added to reminders of outstanding payments.
4.2. Payment by card and by internet banking
The following payment options are currently offered for e-commerce, i.e. when contracts are signed directly through www.kontroll.se When paying by card and through internet banking, all data will be handled with a secure and global encryption system. The order is completed when the conditions have been approved and the purchase has been approved. The card will be checked by our payment partner STRIPE, who checks that the card is valid and that the amount is available. After completed payment, the customer will receive an e-mail confirmation containing personal login information for the service at kontroll.se. Payment will not be deducted from the account until the username and password have been obtained. Kontroll.se does not accept American Express, Diners or foreign credit cards.
5. Delivery of the service
Delivery takes place by the subscriber receiving an e-mail confirmation with his login details, which consists of a username and a password sent by kontroll.se, and thus gets access to the ordered Service. The password is valid only for the subscriber and may not be transferred to third parties.
6. Right of withdrawal
According to ch. 2 11 § 11 p. The Distance and Home Sales Act (2005:59), the right of withdrawal does not apply to an agreement entered into when the Services are of such a nature that they are exempt from the scope of application of the law. By entering into the Agreement, the customer agrees that the right of withdrawal shall not apply.
7. Maintenance
Kontroll.se reserves the right to maintain and thereby change the content of the service.
8. Transfer of subscription
The subscription may not be transferred without written consent from kontroll.se
9. Termination of subscription
9.1 Kontroll.se reserves the right to terminate a subscription with immediate effect and terminate the agreement without repayment obligation if the subscriber acts in violation of these terms or otherwise in an improper manner.
9.2 Termination of subscription
the company is declared bankrupt, suspends its payments, enters into settlement negotiations, goes into liquidation or otherwise can be considered to have become insolvent.
9.3 Termination of subscription
the subscriber does not pay an overdue invoice after the reminder has been sent, or otherwise breaches his payment obligation.
10. Personal information
Personal and company information is stored, encrypted and processed confidentially by kontrol.se in accordance with the Data Protection Regulation (GDPR). Kontroll.se is responsible for personal data and in some cases Personal data assistant. By becoming a customer and using the service, you accept our Privacy and Cookie Policy as part of the agreement.
11. Limitation of liability
Kontroll.se is not responsible for any loss that the subscriber suffers as a result of improper use or in the event of errors or deficiencies in the service. The same applies to any claims against the subscriber as a result of using the services from kontroll.se.
Kontroll.se is not responsible for changes and additions that the subscriber makes in connection with the use of the ordered service. Kontroll.se is not responsible for alleged or incurred damages, losses or costs that are directly or indirectly due to or allegedly dependent on the content of Kontroll.se services.
12. Copyright and licensing
The content of kontroll.se web page as well as the underlying software and databases found on the website are protected according to the law (1960:729) on copyright to literary and artistic works. The subscriber receives the right to use the ordered Services to the extent agreed upon when signing the Agreement. It is the customer’s responsibility not to spread or use Kontroll.se and its content in an unauthorized way, for example by allowing more users than agreed to take part in the services or to publish or otherwise spread content from Kontroll.se on a website, other open network or on another way. The customer may not make kontroll.se’s services and other content the subject of general distribution or otherwise use said content for commercial purposes.
14. Force Majeure
The parties are exempt from liability for breaches of contract caused by circumstances beyond the parties’ control, such as disturbances or interruptions in public data or telecommunications networks, accident, fire, lightning, explosion, pandemic, war, riot, flood, natural disaster, labor dispute or changed government regulation or government intervention. In order for such circumstances to be invoked as grounds for exemption, one party must notify the other party without delay. The parties’ agreement according to the agreement comes into force as soon as the said circumstances no longer exist.
15. Customer service
Kontroll.se customer service provides support during weekdays between 09-15 during normal office hours. We are closed on weekends and public holidays. Support mainly refers to error reporting and technical problems with the services.
16. Other
In the event of conflicts between the Agreement and General Terms and Conditions, the provisions of the Agreement shall take precedence
17. Applicable law and dispute
Agreement and general conditions shall be interpreted and applied according to Swedish substantive law. Disputes related to this shall finally be settled by the general court in Lund district court as the first instance.
